TERMS AND CONDITIONS OF BUSINESS

1. Introduction

These Terms and Conditions (“Terms”) govern all transactions between SHANTI MILLING INDUSTRIES (“the Company”) and its customers (“the Buyer”) for the supply of food products, ingredients, and processing materials. By placing an order, the Buyer acknowledges and accepts these Terms in full.

2. Scope of Business

The Company is engaged in the manufacturing, milling, processing, and supply of food ingredients and related products. All goods are supplied strictly in accordance with the terms below.

3. Orders and Acceptance

• All orders must be placed in writing and confirmed by the Company before processing.
• Quotations are valid for 15 days from the date of issue unless otherwise stated.
• The Company reserves the right to accept or reject any order at its sole discretion.

4. Prices and Taxes

• Prices quoted are ex-factory unless otherwise specified.
• Applicable GST, duties, and levies will be charged extra as per government regulations.
• Prices are subject to change without prior notice due to fluctuations in input costs, packaging, or transport.

5. Payment Terms

• Payments must be made strictly as per agreed terms.
• Delay in payment beyond due dates will attract interest @18% per annum or as agreed in writing.
• The Company reserves the right to withhold deliveries or cancel pending orders in case of non-payment.

6. Delivery and Risk

• Delivery dates are indicative and subject to availability and external conditions.
• Risk and ownership of goods pass to the Buyer upon dispatch from the Company’s premises.
• Any shortage, damage, or discrepancy must be reported in writing within 48 hours of receipt.

7. Product Quality and Liability

• The Company ensures all products meet industry standards and are manufactured under hygienic, food-safe conditions.
• The Company’s liability shall be limited to the replacement of defective goods or refund of invoice value, at its discretion.
• The Company shall not be liable for consequential or indirect losses.

8. Returns and Cancellations

• Goods once sold will not be accepted back unless specifically authorised in writing.
• Cancelled orders may incur administrative or handling charges as applicable.
• Payments will be refunded within 7 days after the product is shipped back to us.

9. Packaging and Storage

• Standard packaging is provided as per product specifications.
• Buyers are responsible for proper storage of goods after receipt to maintain quality and shelf life.

10. Force Majeure

The Company shall not be responsible for delays or failures in performance due to events beyond its control, including but not limited to natural calamities, strikes, transport issues, or government restrictions.

11. Confidentiality

All product specifications, pricing, or commercial information shared by the Company are confidential and must not be disclosed to third parties without written consent.

12. Governing Law and Jurisdiction

All contracts shall be governed by the laws of India. Any dispute shall fall under the exclusive jurisdiction of the Courts of [Your City, State].
